AllDefiant Beta Tester Agreement

This Agreement is between you ("Beta Tester," "you") and IRL Applications, the business operating AllDefiant ("AllDefiant," "we," "us"). By checking the acknowledgment box on the AllDefiant beta application, you agree to the following terms. If you do not agree, do not apply for or participate in the beta.

1. What's confidential

During your participation in the beta, you will have access to information about AllDefiant that is not yet public. This includes:

• Platform features, interfaces, and functionality
• Economic mechanics, payout calculations, and fee structures beyond what is publicly posted on alldefiant.com
• Technical implementation details, code, APIs, and system behavior
• Product roadmap, upcoming features, and strategic direction
• Names and details of other beta testers and early artists
• Any information explicitly marked "confidential" by AllDefiant

You agree not to share, publish, post publicly, or disclose this information to any third party while AllDefiant is in beta, and for twelve (12) months after public launch.

What's NOT confidential: Information that AllDefiant has made public on alldefiant.com, in press coverage, or in public social posts. You are free to discuss publicly-posted information, including the "80% to artists and creators" positioning, the anti-Spotify framing, and the Founding Artist program terms as publicly described.

2. Competitive exclusion

You represent and warrant that, as of the date you accept this Agreement:

• You are not currently employed by, consulting for, contracting with, or holding equity in any music streaming platform, including but not limited to Spotify, Apple Music, Amazon Music, Tidal, Deezer, SoundCloud, Bandcamp, Audiomack, YouTube Music, Pandora, or any similar service.
• You are not currently employed by or consulting for any company actively developing a music streaming platform that would compete with AllDefiant.
• You are not joining the beta for the purpose of gathering competitive intelligence on behalf of yourself or any third party.

If your employment or affiliation status changes during the beta in a way that would violate this section, you agree to notify AllDefiant in writing via our contact form within seven (7) days and to withdraw from the beta.

Violation of this section constitutes a material breach of this Agreement and may result in immediate termination of your beta access, deletion of your uploaded content from the beta environment, and potential legal action including claims for damages.

3. Feedback license

Any feedback, suggestions, ideas, bug reports, feature requests, or other information you provide to AllDefiant about the platform ("Feedback") may be used by AllDefiant without restriction, attribution, or compensation to you.

You grant AllDefiant a perpetual, worldwide, royalty-free, irrevocable license to use, reproduce, modify, and incorporate your Feedback into the AllDefiant platform and related products.

This section does NOT cover the music you upload to the platform. Rights to your music remain entirely yours, subject to the separate AllDefiant Terms of Service governing content uploads.

4. No warranty

The AllDefiant beta is provided "as-is" and "as-available." We make no warranty that the platform will be error-free, uninterrupted, secure, or that bugs will be fixed. During beta, you may lose data, miss payouts, or experience downtime.

You understand and accept that beta software has defects and that AllDefiant is not liable for any lost revenue, lost data, lost time, or any other damages arising from your use of the beta platform.

If a material bug causes a genuine loss of payout, AllDefiant will make a reasonable good-faith effort to make you whole, but this is not a warranty or guarantee.

5. Your music and your content

Nothing in this Agreement transfers ownership of your music to AllDefiant. You retain all rights to your uploaded content. The separate AllDefiant Terms of Service govern what license you grant AllDefiant to host, stream, and display your music on the platform.

You represent that you own or have all necessary rights to upload the music you upload to the beta platform.

6. Termination

AllDefiant may terminate your beta access at any time, with or without cause, with or without notice. You may withdraw from the beta at any time by deleting your account from your profile settings, or via our contact form.

Upon termination:

• Sections 1 (confidentiality), 2 (competitive exclusion), and 3 (feedback license) survive for twelve (12) months.
• Your uploaded music remains yours and can be removed on request.
• Any payouts earned and owed up to the termination date will be paid on the normal payout schedule.

7. Term

This Agreement is effective from your acceptance at application submission and continues until:

• The end of the AllDefiant beta period (at AllDefiant's discretion), at which point Founding Artists transition to the standard Terms of Service, OR
• Your withdrawal from or removal from the beta

The confidentiality and competitive exclusion sections survive the end of the Agreement by twelve (12) months.

8. Governing law

This Agreement is governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Tarrant County, Texas.

9. Entire agreement

This Agreement, together with the AllDefiant Terms of Service and Privacy Policy, constitutes the entire agreement between you and AllDefiant regarding your beta participation. If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect.

10. How to accept

You accept this Agreement by checking the "I agree" box on the AllDefiant beta application form at alldefiant.com/beta.
